Welcome to XYRO. The terms "we", "us" and "our" refer to Skux Pte Ltd (UEN 202414847K), trading as XYRO ("XYRO"). XYRO operates this store and website, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience (the "Services"). XYRO is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with any policies referenced in them (these "Terms"), describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights, including warranty disclaimers and limitations of liability.
By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms, you represent that you are at least 18 years old. To use the Services you may be asked to provide information such as your email address and billing, payment and shipping details. You represent that all information you provide is correct, current and complete. You are responsible for keeping your account credentials secure and for all activity under your account. You may not transfer, sell or assign your account.

SECTION 2 - HEALTH AND SUPPLEMENT DISCLAIMER
XYRO products are health supplements, not medicines. They are not intended to diagnose, treat, cure or prevent any disease, and have not been evaluated for therapeutic purposes by the Health Sciences Authority (Singapore), the U.S. FDA, or any other regulatory authority. Information on the Services is for general information only and is not medical advice.
Consult a qualified healthcare professional before use if you are pregnant, nursing, taking prescription medication, or living with a medical condition. Not intended for persons under 18. Keep out of reach of children. Discontinue use and seek medical advice if any adverse reaction occurs. Use of our products is at your own discretion and risk, and results vary between individuals.

SECTION 3 - OUR PRODUCTS
We make every effort to represent our products accurately, but colours and appearance may differ on your screen depending on your device. We do not warrant that the appearance or quality of products will meet your expectations or match how they are depicted. Product descriptions may change at any time without notice, and we may discontinue any product or limit quantities at our discretion.

SECTION 4 - ORDERS
When you place an order you are making an offer to purchase. We may accept or decline any order at our discretion, and an order is accepted only when we confirm it after payment is processed. Please review your order carefully, as we may be unable to accommodate changes after acceptance. Your purchases are subject to return or exchange solely in accordance with our Refund & Returns Policy. You represent that your purchases are for personal or household use and not for commercial resale or export.

SECTION 5 - PRICES AND PAYMENT
Prices are in Singapore Dollars (SGD). Prices, discounts and promotions may change without notice; the price that applies is the one in effect when you place your order, as set out in your order confirmation. Unless otherwise stated, posted prices exclude shipping and any applicable taxes or duties. You agree to provide current, complete and accurate payment and account information, and you represent that you are authorised to use the payment method you provide.

SECTION 6 - SUBSCRIPTIONS AND RECURRING BILLING
Some products are offered on a subscription. By starting a subscription you authorise us, through our billing provider Appstle, to charge your payment method on a recurring basis at the then-current subscription price until you cancel. You may skip, swap, pause or cancel before your next billing date through your account or by contacting us. Cancellation stops future renewals; it does not refund an order that has already shipped. SECTION 7 - SHIPPING AND DELIVERY
All delivery times are estimates only and are not guaranteed. We are not liable for delays caused by shipping carriers or events outside our control. Once we transfer products to the carrier, title and risk of loss pass to you. See our Shipping Policy.

SECTION 8 - INTELLECTUAL PROPERTY
The Services, including all trademarks, text, images, graphics, reviews, video and audio and their arrangement, are owned by Skux Pte Ltd, its affiliates or licensors, and are protected by Singapore and international intellectual-property laws. These Terms permit personal, non-commercial use only. You must not reproduce, distribute, modify, republish or transmit any material on the Services without our prior written consent. "XYRO" and our logos are our trademarks and may not be used without our written permission. Shopify's marks are trademarks of Shopify. All other marks belong to their respective owners.

SECTION 9 - OPTIONAL TOOLS
We may provide access to third-party tools "as is" and "as available", without warranties or endorsement, and we have no liability arising from your use of them. Your use of optional third-party tools is at your own risk, subject to the relevant third party's terms. New features added in future form part of the Services and are subject to these Terms.

SECTION 10 - THIRD-PARTY LINKS
The Services may contain links to third-party websites or functionality. We are not responsible for the content or accuracy of third-party materials and are not liable for any harm related to your use of them. Please review the third party's policies before transacting; questions about third-party products or services should be directed to that third party.

SECTION 11 - RELATIONSHIP WITH SHOPIFY
XYRO is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make are made directly with Skux Pte Ltd. You acknowledge that Shopify is not responsible for any aspect of any sales between you and us, including any injury, damage or loss resulting from products or services, and you release Shopify and its affiliates from all claims arising from your purchases and transactions with us.

SECTION 12 - PRIVACY POLICY
All personal data we collect through the Services is subject to our Privacy Policy, and certain data may be subject to Shopify's privacy policy. By using the Services you acknowledge that you have read these policies. Because the Services are hosted by Shopify, information you submit may be transmitted to and processed by Shopify and third parties that may be located outside Singapore, in order to provide the Services to you.

SECTION 13 - FEEDBACK
If you submit reviews, ideas, suggestions or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display it for any purpose, including commercial use. You represent that you own or have the rights to the Feedback, that you have disclosed any compensation or incentive received in connection with it, and that it is lawful and non-infringing. We have no obligation to keep Feedback confidential, to pay for it, or to respond to it, and we may moderate or remove it at our discretion. You are solely responsible for your Feedback.

SECTION 14 - ERRORS, INACCURACIES AND OMISSIONS
The Services may occasionally contain typographical errors, inaccuracies or omissions relating to descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct any such errors and to change or update information or cancel orders if any information is inaccurate, at any time without prior notice (including after you have submitted your order).

SECTION 15 - PROHIBITED USES
You may use the Services for lawful purposes only. You may not use the Services for any unlawful or malicious purpose; to violate any laws; to infringe intellectual-property rights; to harass or harm any person; to transmit false or misleading information; to send spam or unsolicited material; to impersonate others; to upload viruses or malicious code; to reproduce, resell or exploit any part of the Services; to collect others' personal information; to scrape or crawl; or to interfere with or circumvent the security of the Services. We may suspend, disable or terminate your account at any time if we determine you have violated these Terms.

We may terminate this agreement or your access to the Services at any time, at our discretion, and you will remain liable for amounts due up to termination. Sections relating to Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, and Privacy, and any others that by their nature should survive, will continue to apply.

SECTION 17 - DISCLAIMER OF WARRANTIES
Information on the Services is provided for general information only; we do not warrant its accuracy, completeness or usefulness, and any reliance is at your own risk. Except as expressly stated, the Services and all products are provided "as is" and "as available" without warranties or conditions of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title and non-infringement, to the fullest extent permitted by law. This does not exclude statutory consumer guarantees that cannot lawfully be excluded. We do not guarantee that the Services will be uninterrupted, secure or error-free.

SECTION 18 - LIMITATION OF LIABILITY
To the fullest extent permitted by law, in no case shall Skux Pte Ltd, its partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors, or those of Shopify, be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special or consequential damages of any kind, including lost profits, lost revenue, lost data or replacement costs, arising from your use of the Services or any products, even if advised of their possibility. Nothing in these Terms limits liability that cannot be excluded by law.

SECTION 19 - INDEMNIFICATION
You agree to indemnify and hold harmless Skux Pte Ltd, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, arising from (1) your breach of these Terms, (2) your violation of any law or third-party right, or (3) your access to or use of the Services.

SECTION 20 - SEVERABILITY
If any provision of these Terms is found unlawful, void or unenforceable, it will be enforceable to the fullest extent permitted by law, and the unenforceable portion will be severed without affecting the validity of the remaining provisions.

SECTION 21 - WAIVER; ENTIRE AGREEMENT
Our failure to enforce any right or provision is not a waiver of it. These Terms, together with any policies posted by us, constitute the entire agreement between you and us and supersede any prior agreements. Any ambiguities will not be construed against the drafting party.

SECTION 22 - ASSIGNMENT
You may not assign or transfer these Terms or your rights and obligations without our prior written consent, and any attempt to do so is void. We may assign or transfer these Terms and our rights and obligations without consent or notice to you.

SECTION 23 - GOVERNING LAW
These Terms, and any separate agreements under which we provide you Services, are governed by and construed in accordance with the laws of Singapore, and you submit to the exclusive jurisdiction of the courts of Singapore.

You can review the most current version of these Terms at any time on this page. We may update, change or replace any part of these Terms by posting changes to our website. We will notify you of material changes in accordance with applicable law. Your continued use of the Services after changes take effect constitutes acceptance.
